本契約は、エクサポリシー合同会社(以下「当社」)が提供する「Covenant Lite」(以下「本ソフトウェア」)の使用条件を定めるものです。本ソフトウェアをインストール、複製、または使用することにより、使用者(以下「利用者」)は本契約のすべての条項に同意したものとみなされます。同意されない場合は、本ソフトウェアをインストール・使用することはできません。

第 1 条(定義)

本契約において、以下の用語は次の意味で用います:

  1. 「本ソフトウェア」: Covenant Lite 本体(実行可能ファイル、同梱リソース等を含む)、および本ソフトウェアと連携して動作するために当社が提供するブラウザ拡張機能「Covenant Bridge」
  2. 「本サービス」: 本ソフトウェアおよびこれに付随して当社が提供する更新・サポート等の役務の総称
  3. 「ライセンス」: 販売プラットフォームを通じた本ソフトウェアの購入により利用者が取得する、本ソフトウェアの使用権原
  4. 「販売プラットフォーム」: 本ソフトウェアの販売・課金・配布を媒介する Apple App Store、Microsoft Store その他のストア
  5. 「ポリシー」: 本ソフトウェアが判定に用いる基準を定義する YAML ファイル群
  6. 「判定結果」: 本ソフトウェアがポリシーに基づいて算出する検知・分類・判定の結果

第 2 条(本契約の目的)

本契約は、利用者が本ソフトウェアを利用するにあたっての当社と利用者の間の権利義務を定めることを目的とします。

第 3 条(使用許諾の範囲)

当社は利用者に対し、本契約の条件に従い、本ソフトウェアの非独占的・非譲渡的な使用権を許諾します:

  1. 使用形態: 本ソフトウェアは、購入時に対価を一度支払う形態(買い切り)で提供されます。当社は本ソフトウェアについてライセンスキーの発行およびライセンス認証を行わず、利用者は販売プラットフォームで購入したアカウントの範囲内で本ソフトウェアを使用できます
  2. 使用範囲・台数: 利用者は、購入した販売プラットフォームのアカウントに紐づく利用権原の範囲内で、当該プラットフォームの規約および仕組みに従って本ソフトウェアを使用できます。使用可能な台数は当該プラットフォームのアカウント管理に従い、当社は独自の台数制限を課しません
  3. 対価: 本ソフトウェアの対価は、購入時に販売プラットフォームの製品ページに表示された額によります。利用者は当該対価を販売プラットフォームの定める方法により支払うものとします
  4. 使用目的: 個人・フリーランス・法人の業務における利用を含みます。ただし、本ソフトウェアそのものを再販売・再許諾・サブライセンスする目的での利用はできません
  5. 再配布の禁止: 利用者は、本ソフトウェアおよびライセンスを、第三者に譲渡、貸与、販売、再配布、公開してはなりません

第 4 条(禁止事項)

利用者は、本ソフトウェアの使用にあたり、以下の行為を行ってはなりません:

  1. 本ソフトウェアの逆コンパイル、逆アセンブル、リバースエンジニアリング(法令上の権利として明示的に認められている範囲を除く)
  2. 本ソフトウェアの実行可能ファイル、リソース、デジタル署名検証ロジックの改変
  3. 販売プラットフォームの購入・配布の仕組みを回避して本ソフトウェアを取得または使用すること、およびその試み
  4. 本ソフトウェアを用いた違法行為、公序良俗に反する行為、および第三者の権利を侵害する行為
  5. 本ソフトウェアを、その設計上想定されていない環境または用途で使用し、その結果を対外的に本ソフトウェアの評価として公表すること

第 5 条(知的財産権)

  1. 本ソフトウェアに関する一切の知的財産権(著作権、特許権、商標権、ノウハウ等)は、当社またはそのライセンサーに帰属します
  2. 本契約により利用者に譲渡される権利は、第 3 条に定める使用権のみであり、その他のいかなる権利も譲渡されません
  3. 本ソフトウェアの核心機構については、当社により 日本特許庁に特許出願済 です(出願番号: 特願2026-57154、名称:「情報処理システム、情報処理方法およびプログラム」)。出願中である旨を表示する権利は、当社が保有します

第 6 条(判定機能および AI 機能に関する特別条項)

本ソフトウェアは、利用者が設定したポリシーに基づく判定機能と、外部の大規模言語モデル(LLM)サービスを用いたチャット機能を内包しています。これに関連し、利用者は以下の事項を理解し、同意するものとします:

  1. 判定と判断の分離: 本ソフトウェアの判定機能は、利用者が設定したポリシーに送信内容が該当するか否かを機械的に判定するものであり、最終的な業務上の判断は常に利用者(人間)が行うものです。本ソフトウェアは利用者の判断を代行するものではなく、判断材料を提供する補助ツールです
  2. 判定の範囲: 判定は、ポリシーに定めた基準(個人情報・API キー等の既知のパターン、および利用者が登録した禁止語等)にのみ基づきます。ポリシーに定めのない内容は判定の対象外であり、送信内容の意味や文脈を評価する機能は本ソフトウェアに含まれません
  3. 機密レベル分類の権限: データの機密レベル(機密レベル L1〜L4)の最終的な決定権は、データオーナーである利用者にあります。本ソフトウェアが算出する分類はポリシーに基づく参考値であり、利用者は自らの責任において最終決定を行うものとします
  4. NDA・契約義務の遵守: 本ソフトウェアの使用は、利用者が顧客・発注者等と締結している機密保持契約(NDA)その他の契約上の義務を免除するものではありません。契約遵守の責任は利用者にあります
  5. 判定の限界: 本ソフトウェアの判定は、既知のパターンに基づく自動検知であり、全ての機密情報を完全に検出することを保証するものではありません
  6. ポリシーの成長: 本ソフトウェアの実用価値は、利用者が自らの業務・契約に合わせてポリシー(YAML)を継続的に編集・改善することにより発揮されます。初期状態のポリシーは出発点に過ぎません
  7. 誤判定への備え: パターンに基づく判定には、パターンに該当しない情報の検出漏れ、およびパターンに偶然一致した情報の過剰な検出が生じる可能性が本質的に存在します。利用者は、こうした判定の限界を前提として、自らの業務・契約上の要請に応じたポリシー(YAML)を設定・運用し、必要に応じて人間による確認および例外管理を行うことが推奨されます。本ソフトウェアは、利用者によるこのようなポリシー設定および最終判断を前提とした補助ツールであり、ポリシーの設定により誤判定が防止されることを保証するものではありません
  8. チャット応答の非保証: チャット機能において外部 LLM サービスが生成する応答は、当該サービスの提供するものです。当社は応答の正確性、完全性、特定目的への適合性について一切保証しません

第 7 条(外部 LLM サービスの利用)

  1. 本ソフトウェアのチャット機能は、利用者の設定により、外部のクラウド LLM サービス(Anthropic Claude、Google Gemini、OpenAI 等)または利用者が登録したローカル LLM に通信を行います
  2. 外部サービスへの送信は、利用者が API キーを設定し、かつ機密レベルおよびルーティングポリシー上許可されたメッセージに限られます
  3. 外部サービスの利用に伴う通信費、API 利用料、および外部サービス事業者の利用規約の遵守は、すべて利用者の責任と負担において行うものとします
  4. 外部サービス事業者による送信データの取り扱いについては、当該事業者の規約が適用されます。当社はこれに関与せず、責任を負いません
  5. クラウド AI プリセットの「Web 検索」設定を有効化した場合、利用者がお送りになるメッセージの一部が、選択中のクラウド AI プロバイダー(Anthropic / Google / OpenAI)の検索サービスに検索クエリとして渡ることがあります。検索処理および結果は当該プロバイダーが提供するものであり、当社は検索結果の正確性・最新性・信頼性について保証しません。検索クエリの送信および応答生成における利用料(API 料金)は、利用者と当該プロバイダーとの直接契約関係に従ってご負担いただきます。「Web 検索」設定は既定で無効であり、有効化は設定メニューでの明示的な操作により行います。詳細は当社製品のデータ取扱いに関するドキュメントおよびプライバシーポリシー第 11 条をご参照ください

第 8 条(データの取り扱い)

  1. ローカル保存: 本ソフトウェアが生成・保持するデータ(スレッド、メッセージ、監査ログ、ポリシー、設定等)は、利用者のローカル端末に保存されます。保存先は、同一端末上で当社の他の Covenant 製品と共有される領域です(次項および第 8 項)
  2. テレメトリの不在: 本ソフトウェアは、利用者の明示的な操作なしに利用状況データを当社または第三者に送信しません
  3. ライセンス認証に伴う通信の不在: 本ソフトウェアはライセンス認証を行わず、そのための通信を行いません。本ソフトウェアの取得・更新に伴い販売プラットフォームが行う通信については、当該プラットフォームの規約が適用されます
  4. 監査ログ: 本ソフトウェアは audit.jsonl に監査記録を追記し続けます。利用者はこれを業務上の証跡として自由に利用できます
  5. データの管理責任: ローカル保存データの保全、バックアップ、削除は利用者の責任で行うものとします。本ソフトウェアのアンインストール時に、OS の仕組みにより本ソフトウェアのデータフォルダが削除される場合があります(条件はヘルプに記載)。残す必要のあるデータは、アンインストールの前に本ソフトウェアの設定「データの書き出し」から書き出してください
  6. サポート診断情報: 利用者が本ソフトウェアの不具合報告・問い合わせ機能を用いて情報を提供する場合、当該情報には、バージョン・ビルド情報、Platform、チャットおよび判定に関する設定値、LLM 接続の疎通診断結果、監査ログ(audit.jsonl)の抜粋、および利用者が任意に記入したハードウェア環境等が含まれることがあります。当社はこれらの情報をサポート対応および製品改善の目的に限って利用し、AI の学習には利用せず、第三者に販売しません。本ソフトウェアはこれらの情報を自動送信せず、利用者が報告作成時に全文を確認したうえで、利用者自身の手段により送信するものとします。スレッド本文・プロンプト、利用者が育てたポリシー(org / personal)の内容、および認証情報(secrets)の値は、当該報告に含まれません
  7. ブラウザ拡張機能(Covenant Bridge): 利用者が Covenant Bridge をブラウザに導入した場合、対応する AI チャットサイトで利用者が送信しようとする入力内容は、送信前に同一端末上の本ソフトウェアに渡されて判定を受けます。この判定は利用者の端末内で行われ、入力内容が当社に送信されることはありません。判定の結果は本ソフトウェアの監査ログに記録されます
  8. 当社の他の Covenant 製品への引き継ぎ: 利用者が同一端末に Covenant Personal Edition を導入して初めて起動した際、本ソフトウェアのデータ(スレッド、ポリシー、監査ログ等)が当該製品に引き継がれることがあります。引き継ぎは 1 回限りであり、引き継ぎの有無および結果は当該製品の画面に表示されます。引き継ぎ後も本ソフトウェアのデータは本ソフトウェア側に残ります

第 9 条(保証の否認)

  1. 本ソフトウェアは「現状のまま(AS IS)」提供されます。当社は、明示または黙示を問わず、商品性、特定目的への適合性、権利の非侵害、瑕疵の不存在、連続した使用の可能性、期待される結果の達成について、一切の保証をしません
  2. 本ソフトウェアには、不具合、制限、非互換性、データ損失の可能性が含まれる場合があります
  3. 本ソフトウェアの判定結果、生成結果を業務上の意思決定に利用する場合、利用者は自らの責任においてこれを検証し、最終判断を行うものとします

第 10 条(責任制限)

  1. 当社は、本ソフトウェアの使用または使用不能に起因して利用者または第三者に生じた一切の損害(直接損害、間接損害、特別損害、逸失利益、データ損失、業務中断、信用毀損を含むがこれに限られない)について、法令により免責が認められない場合を除き、一切の責任を負いません。ただし、当社の故意または重過失に起因して利用者に生じた損害については、この限りではありません
  2. 前項にかかわらず当社が利用者に対して損害賠償責任を負う場合(前項但書の場合を含む)においても、その責任の総額は、利用者が本ソフトウェアの購入に際して支払った対価の額を上限とします
  3. 利用者が消費者契約法上の消費者に該当する場合において、本条その他本契約中の責任を免除し、または制限する条項が同法その他の法令により無効とされるときは、当該法令により認められる限度で当社は責任を負うものとし、当該無効は本契約の他の条項の効力に影響しません

第 11 条(ライセンスの期間・更新プログラム・払戻し)

  1. 期間: ライセンスは、購入時から、第 13 条に定める本契約の終了までの間、有効です。ライセンスの継続に追加の対価は発生しません
  2. 更新プログラム: 当社は、本ソフトウェアの更新プログラムを販売プラットフォームを通じて提供することがあります。更新プログラムおよびサポートの提供期間は、当社が別途定めて公表する製品ライフサイクルポリシーによります。当社は、特定の期間にわたる更新またはサポートの提供を約束するものではありません
  3. 払戻し: 対価の払戻しは、購入した販売プラットフォームの規約および手続によります。当社は、法令上必要な場合または当社が別途定める場合を除き、対価の返金を行いません
  4. 料金の改定: 当社は、本ソフトウェアの対価を改定することがあります。改定後の対価は改定後の購入に適用され、既に購入した利用者に追加の支払は発生しません

第 12 条(フィードバック)

  1. 利用者は、本ソフトウェアについて任意にフィードバック(バグ報告、機能要望、使用感想等)を当社に提供することができます。フィードバックの提供は利用者の任意であり、本ソフトウェアの利用条件ではありません
  2. 提供されたフィードバックについて、当社は無償で利用・改変・製品改善に反映・公表する権利を有します。利用者はこの権利の行使に対して報酬を請求できません
  3. フィードバックに利用者自身の秘密情報または第三者の秘密情報を含めないものとします。含まれた場合の責任は利用者が負います

第 13 条(契約の終了)

  1. 利用者は、本ソフトウェアのアンインストールにより、本契約を終了させることができます
  2. 利用者が本契約に違反した場合、当社は何らの通知なく本契約を直ちに解除し、ライセンスを失効させることができます
  3. 利用者が本契約(特に第 4 条の禁止事項)に違反し、これにより当社または第三者に損害が生じた場合、利用者は当該損害(当社が紛争への対応のために要した合理的な弁護士費用を含む)を賠償する責任を負います
  4. 本契約が終了した場合、利用者は直ちに本ソフトウェアの使用を停止し、利用者が管理する本ソフトウェアの複製物を消去するものとします(ローカル保存データの取扱いは、プライバシーポリシーおよびヘルプの記載によります)
  5. 契約終了後も、第 5 条(知的財産権)、第 9 条(保証の否認)、第 10 条(責任制限)、本条第 3 項(違反による賠償責任)、第 15 条(準拠法・管轄)、第 16 条(一般条項)の規定は有効に存続します

第 14 条(第三者ソフトウェア)

本ソフトウェアには、オープンソースライセンス等の条件で提供される第三者製のコンポーネントが含まれます。これら第三者コンポーネントの一覧および各ライセンス条項は、配布パッケージ同梱の THIRD-PARTY-NOTICES.txt(公開版は「第三者ライセンス表記」ページ)に記載された通りです。当該条項と本契約との間に矛盾がある場合、第三者コンポーネント部分については第三者のライセンス条項が優先します。

第 15 条(準拠法・管轄)

  1. 本契約は、日本法に準拠し、同法に従って解釈されます
  2. 本契約に関連する一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします

第 16 条(一般条項)

  1. 契約の変更: 当社は、本契約を変更することがあります。重要な変更を行う場合は、当社ウェブサイトでの掲示その他の合理的な方法により利用者に通知します。変更後に利用者が本ソフトウェアの使用を継続した場合、変更後の本契約に同意したものとみなします
  2. 分離可能性: 本契約のいずれかの条項が無効または執行不能と判断された場合でも、その他の条項の有効性は影響を受けません
  3. 完全合意: 本契約は、本ソフトウェアの使用に関する利用者と当社の間の完全な合意を構成します

第 17 条(販売プラットフォーム経由の購入に関する特則)

  1. 利用者が Apple App Store、Microsoft Store その他の販売プラットフォームを通じて本ソフトウェアを購入する場合、課金、支払、返金、領収書の発行については、当該販売プラットフォームの規約および手続が適用されます
  2. 前項の場合、本契約と当該販売プラットフォームの規約との間に齟齬があるときは、課金・支払・返金に関する事項については当該プラットフォームの規約が優先します。それ以外の事項(使用許諾範囲、知的財産権、判定機能および AI 機能に関する特別条項、保証の否認、責任制限等)については本契約が適用されます
  3. 当社が将来、当社ウェブサイト等を通じて直接販売(直販)を行う場合の決済・返金条件は、当社が別途定め、特定商取引法に基づく表記その他の方法により明示します

第 19 条(販売プラットフォーム事業者に関する特則 — Apple / Microsoft 最低条項)

本条は、本ソフトウェアを Apple App Store または Microsoft Store を通じて取得した利用者に適用される、各販売プラットフォーム事業者が要求する最低条項を定めるものです。本条と本契約の他の条項との間に齟齬がある場合、当該プラットフォーム経由で取得した利用者については本条が優先します。

1. Apple App Store 経由で取得した場合

  1. 当事者関係: 本契約は、利用者と当社との間でのみ締結されるものであり、Apple Inc.(以下「Apple」)は本契約の当事者ではありません。本ソフトウェア(Licensed Application)およびそのコンテンツに関する責任は、当社が単独で負います
  2. 使用許諾の範囲: 本ソフトウェアの使用許諾は、利用者が所有または管理する Apple ブランド製品上での使用に限られ、Apple の Media Services 利用規約に定める Usage Rules(利用のルール)で許諾される範囲の、譲渡不能なライセンスとします。ただし、ファミリー共有またはボリューム購入により当該利用者に関連付けられた他のアカウントからのアクセス・利用は、Apple の規約が許諾する範囲で認められます
  3. 保守・サポート: 本ソフトウェアに関する保守およびサポートの提供義務は当社が負い、Apple は一切の保守・サポート義務を負いません
  4. 保証: 本ソフトウェアが適用される保証に適合しない場合、利用者は Apple にその旨を通知でき、Apple は(該当する場合)当該利用者による本ソフトウェアの購入価格を返金することがあります。法律上許容される最大限において、Apple はこれを超える一切の保証義務を負わず、保証に関するその他の請求、損失、責任、損害、費用または支出は当社が負担します
  5. 製品・第三者請求: 利用者または第三者による、本ソフトウェアに関する請求(製造物責任、法令不適合、消費者保護法令、知的財産権侵害の主張を含む)への対応は、Apple ではなく当社が責任を負います
  6. 第三者受益者: 利用者が本契約に同意した場合、Apple およびその子会社は本契約の第三者受益者となり、Apple は本契約を利用者に対して執行する権利を有します
  7. 適格性の表明: 利用者は、(a) 米国政府の禁輸対象国に所在せず、また「テロ支援国家」に指定された国に所在しないこと、(b) 米国政府の取引禁止・制限リストに掲載されていないことを表明し、保証します
  8. 第三者規約の遵守: 利用者は、本ソフトウェアの利用にあたり、適用される第三者の規約(外部 LLM サービス事業者の利用規約、本ソフトウェアに含まれる第三者コンポーネントのライセンス条項等)を遵守しなければなりません
  9. 提供者の連絡先: 当社の名称、所在地および問合せ先は、第 18 条(問合せ先)に定めるところによります

2. Microsoft Store 経由で取得した場合

  1. 本ソフトウェアを Microsoft Store 経由で取得した場合、本契約が Microsoft の標準アプリケーションライセンス条項(Standard Application License Terms)に代えて適用されます
  2. 課金、支払、返金、その他取引に関する事項は、Microsoft Store の規約および手続に従います
  3. Microsoft Corporation およびそのアフィリエイトは、本契約の当事者ではなく、本ソフトウェアに関する保証・サポート・製品責任を負いません

附則

本契約は、本ソフトウェアの販売プラットフォームにおける配布開始日より効力を生じるものとします。

This Agreement governs the terms of use of "Covenant Lite" (the "Software") provided by Exapolicy LLC (the "Company"). By installing, copying, or using the Software, the user (the "User") is deemed to have agreed to all provisions of this Agreement. If the User does not agree, the User may not install or use the Software.

Article 1 (Definitions)

In this Agreement, the following terms have the meanings set forth below:

  1. "Software": Covenant Lite (including executables and bundled resources), together with the browser extension "Covenant Bridge" provided by the Company to operate in conjunction with the Software.
  2. "Service": the Software together with the updates, support, and related services provided by the Company in connection with it.
  3. "License": the entitlement to use the Software that the User acquires by purchasing the Software through a Sales Platform.
  4. "Sales Platform": a store that mediates the sale, billing, and distribution of the Software, such as the Apple App Store or Microsoft Store.
  5. "Policy": the set of YAML files that define the criteria the Software uses for its check.
  6. "Determination Result": the detections, classifications, and determinations produced by the Software on the basis of the Policy.

Article 2 (Purpose)

This Agreement sets forth the rights and obligations between the Company and the User in connection with the User's use of the Software.

Article 3 (Scope of License)

The Company grants the User a non-exclusive, non-transferable right to use the Software in accordance with this Agreement:

  1. Form of use: The Software is provided on a one-time purchase basis (consideration paid once at the time of purchase). The Company does not issue license keys or perform license authentication for the Software; the User may use the Software within the scope of the account on the Sales Platform through which the purchase was made.
  2. Scope / number of devices: The User may use the Software within the scope of the entitlement associated with the User's account on the Sales Platform of purchase, in accordance with that platform's terms and mechanisms. The number of usable devices follows that platform's account management, and the Company does not impose its own device limit.
  3. Consideration: The consideration for the Software is the amount displayed on the product page of the Sales Platform at the time of purchase. The User shall pay such consideration by the method prescribed by the Sales Platform.
  4. Permitted purpose: Use in business contexts by individuals, freelancers, and corporations is permitted. However, use for the purpose of reselling, re-licensing, or sublicensing the Software itself is not permitted.
  5. No redistribution: The User may not transfer, lend, sell, redistribute, or publish the Software or the License to any third party.

Article 4 (Prohibited Acts)

The User shall not:

  1. Decompile, disassemble, or reverse-engineer the Software (except to the extent expressly permitted by law);
  2. Modify the Software's executables, resources, or digital-signature verification logic;
  3. Acquire or use the Software by circumventing the purchase and distribution mechanisms of a Sales Platform, or attempt to do so;
  4. Use the Software for illegal acts, acts against public order and morals, or acts infringing third-party rights; or
  5. Use the Software in an environment or for a purpose not contemplated by its design and publicly present the results as an evaluation of the Software.

Article 5 (Intellectual Property)

  1. All intellectual property rights in the Software (copyrights, patents, trademarks, know-how, etc.) belong to the Company or its licensors.
  2. The only rights transferred to the User under this Agreement are the rights of use set forth in Article 3; no other rights are transferred.
  3. The core mechanisms of the Software are the subject of a patent application filed with the Japan Patent Office (Application No. 2026-57154; title: "Information Processing System, Information Processing Method, and Program"). The Company reserves the right to indicate that the application is pending.

Article 6 (Special Provisions Regarding the Determination Function and AI Functions)

The Software incorporates a check (determination function) based on the Policy configured by the User, and a chat function that uses external large language model (LLM) services. In connection therewith, the User understands and agrees to the following:

  1. Separation of determination and judgment: The check performed by the Software mechanically determines whether the content to be sent falls under the Policy configured by the User, and the final business judgment is always made by the User (a human). The Software does not make judgments on behalf of the User; it is an auxiliary tool that provides material for judgment.
  2. Scope of determination: The check is based solely on the criteria set forth in the Policy (known patterns such as personal information and API keys, and prohibited words registered by the User, etc.). Content not covered by the Policy is outside the scope of determination, and the Software does not include any function that evaluates the meaning or context of the content to be sent.
  3. Authority over confidentiality-level classification: The final authority to determine the confidentiality level (Confidentiality Levels L1–L4) of data rests with the User, who is the data owner. The classification produced by the Software is a reference value based on the Policy, and the User makes the final determination at the User's own responsibility.
  4. Compliance with NDAs and contractual obligations: Use of the Software does not relieve the User of any non-disclosure agreement (NDA) or other contractual obligation the User has entered into with customers, clients, etc. Responsibility for compliance rests with the User.
  5. Limits of the check: The check performed by the Software is automated detection based on known patterns and does not guarantee complete detection of all confidential information.
  6. Growth of the Policy: The practical value of the Software is realized through the User's continuous editing and improvement of the Policy (YAML) to suit the User's own work and contracts. The initial Policy is merely a starting point.
  7. Preparedness for misdetermination: Pattern-based determination inherently carries the possibility of failing to detect information that does not match a pattern, and of over-detecting information that coincidentally matches a pattern. It is recommended that the User, on the premise of such limits, configure and operate Policies (YAML) according to the User's own business and contractual requirements, and perform human verification and exception management as necessary. The Software is an auxiliary tool premised on such Policy configuration and final judgment by the User, and does not guarantee that configuring Policies will prevent misdetermination.
  8. No guarantee of chat responses: Responses generated by external LLM services in the chat function are provided by those services. The Company makes no warranty whatsoever as to the accuracy, completeness, or fitness for a particular purpose of such responses.

Article 7 (Use of External LLM Services)

  1. Depending on the User's settings, the chat function of the Software communicates with external cloud LLM services (Anthropic Claude, Google Gemini, OpenAI, etc.) or with a local LLM registered by the User.
  2. Transmission to external services is limited to messages for which the User has configured an API key and which are permitted under the confidentiality level and routing Policy.
  3. Communication charges, API usage fees, and compliance with the terms of the external service providers arising from the use of external services are all borne and complied with at the User's responsibility and expense.
  4. The handling of transmitted data by external service providers is governed by the terms of such providers. The Company is not involved in and bears no responsibility for such handling.
  5. If the User enables the "Web Search" setting of a cloud AI preset, part of the messages sent by the User may be passed as a search query to the search service of the selected cloud AI provider (Anthropic / Google / OpenAI). Search processing and results are provided by that provider, and the Company does not warrant the accuracy, timeliness, or reliability of search results. Usage fees (API charges) for sending search queries and generating responses are borne by the User in accordance with the User's direct contractual relationship with that provider. The "Web Search" setting is disabled by default, and enabling it requires an explicit operation in the settings menu. For details, please refer to the Company's product documentation on data handling and Article 11 of the Privacy Policy.

Article 8 (Handling of Data)

  1. Local storage: Data generated and held by the Software (threads, messages, audit logs, Policies, settings, etc.) is stored on the User's local device. The storage location is an area on the same device that is shared with the Company's other Covenant products (see the following paragraph and paragraph 8).
  2. Absence of telemetry: The Software does not transmit usage data to the Company or any third party without the User's explicit operation.
  3. Absence of license-authentication communication: The Software does not perform license authentication and does not communicate for that purpose. Communication carried out by the Sales Platform in connection with acquiring or updating the Software is governed by that platform's terms.
  4. Audit logs: The Software continuously appends audit records to audit.jsonl. The User may freely use these as evidence for business purposes.
  5. Responsibility for data management: The preservation, backup, and deletion of locally stored data are the User's responsibility. When the Software is uninstalled, the Software's data folder may be deleted by the operating system (the conditions are described in Help). Data that must be kept should be exported before uninstalling, using "Export data" in the Software's settings.
  6. Support diagnostic information: Where the User provides information using the bug report or inquiry function of the Software, such information may include version and build information, Platform, configuration values relating to chat and to the check, connectivity diagnostic results for LLM connections, excerpts from the audit log (audit.jsonl), and the hardware environment and other details voluntarily entered by the User. The Company uses such information solely for the purposes of support response and product improvement, does not use it for AI training, and does not sell it to third parties. The Software does not transmit such information automatically; the User reviews the full text when composing the report and sends it by the User's own means. Thread contents and prompts, the contents of the Policies developed by the User (org / personal), and the values of credentials (secrets) are not included in such report.
  7. Browser extension (Covenant Bridge): Where the User installs Covenant Bridge in a browser, the content the User is about to send on a supported AI chat site is passed, before sending, to the Software on the same device for the check. This determination is performed within the User's device, and the content is not transmitted to the Company. The result of the determination is recorded in the Software's audit log.
  8. Hand-over to the Company's other Covenant products: When the User installs Covenant Personal Edition on the same device and launches it for the first time, the Software's data (threads, Policies, audit logs, etc.) may be handed over to that product. The hand-over occurs only once, and whether it occurred and its result are displayed on that product's screen. The Software's data remains on the Software's side after the hand-over.

Article 9 (Disclaimer of Warranty)

  1. The Software is provided "AS IS." The Company makes no warranty whatsoever, whether express or implied, as to merchantability, fitness for a particular purpose, non-infringement, absence of defects, continued usability, or achievement of expected results.
  2. The Software may contain defects, limitations, incompatibilities, and the possibility of data loss.
  3. When using the Determination Results or generated results of the Software for business decisions, the User shall verify them at the User's own responsibility and make the final judgment.

Article 10 (Limitation of Liability)

  1. The Company shall not be liable for any damages (including direct, indirect, special, or consequential damages, lost profits, data loss, business interruption, or reputational harm, but not limited thereto) arising from the use or inability to use the Software, except where exemption is not permitted by law. However, this does not apply to damages caused to the User by the Company's willful misconduct or gross negligence.
  2. Notwithstanding the preceding paragraph, even where the Company bears liability to the User (including under the proviso of the preceding paragraph), the total amount of such liability shall be limited to the amount of consideration paid by the User upon purchasing the Software.
  3. Where the User qualifies as a consumer under the Consumer Contract Act, and any provision of this Article or this Agreement that exempts or limits liability is held void under that Act or other laws, the Company shall bear liability to the extent permitted by such laws, and such voidness shall not affect the validity of other provisions of this Agreement.

Article 11 (License Term, Updates, and Refunds)

  1. Term: The License is valid from the time of purchase until this Agreement terminates under Article 13. No additional consideration is required for the License to continue.
  2. Updates: The Company may provide updates to the Software through the Sales Platform. The period during which updates and support are provided is governed by the product lifecycle policy separately established and published by the Company. The Company does not undertake to provide updates or support for any specific period.
  3. Refunds: Refunds of consideration are governed by the terms and procedures of the Sales Platform of purchase. The Company does not refund consideration, except where required by law or where the Company separately provides otherwise.
  4. Revision of price: The Company may revise the price of the Software. A revised price applies to purchases made after the revision, and no additional payment arises for Users who have already purchased.

Article 12 (Feedback)

  1. The User may, at the User's option, provide feedback (bug reports, feature requests, impressions, etc.) regarding the Software. Providing feedback is optional and is not a condition of use of the Software.
  2. The Company has the right to use, modify, incorporate into product improvements, and publish such feedback free of charge. The User may not claim any compensation for the exercise of this right.
  3. The User shall not include in feedback any confidential information of the User or any third party. The User bears responsibility if such information is included.

Article 13 (Termination)

  1. The User may terminate this Agreement by uninstalling the Software.
  2. If the User breaches this Agreement, the Company may immediately terminate this Agreement and lapse the License without notice.
  3. If the User breaches this Agreement (in particular the prohibited acts in Article 4) and thereby causes damage to the Company or a third party, the User shall be liable to compensate for such damage (including reasonable attorneys' fees incurred by the Company in addressing the dispute).
  4. Upon termination of this Agreement, the User shall immediately cease using the Software and erase the copies of the Software under the User's control (the handling of locally stored data is as set forth in the Privacy Policy and Help).
  5. After termination, Articles 5, 9, 10, paragraph 3 of this Article (liability for damages from breach), 15, and 16 remain in effect.

Article 14 (Third-Party Software)

The Software includes third-party components provided under open-source and other license terms. The list of such components and their license terms are as stated in THIRD-PARTY-NOTICES.txt bundled with the distribution package (on the public website, the "Third-Party Notices" page). In case of conflict between such terms and this Agreement, the third-party license terms prevail with respect to those third-party components.

Article 15 (Governing Law and Jurisdiction)

  1. This Agreement is governed by and construed in accordance with the laws of Japan.
  2. The Tokyo District Court shall be the court of exclusive agreed jurisdiction of the first instance for any dispute relating to this Agreement.

Article 16 (General Provisions / Controlling Language)

  1. Amendment: The Company may amend this Agreement. For material amendments, the Company will notify the User by posting on the Company's website or other reasonable means. If the User continues to use the Software after an amendment, the User is deemed to have agreed to the amended Agreement.
  2. Severability: If any provision of this Agreement is held invalid or unenforceable, the validity of the other provisions is not affected.
  3. Entire agreement: This Agreement constitutes the entire agreement between the User and the Company regarding the use of the Software.
  4. Controlling language: This Agreement is executed in Japanese and English. In case of any discrepancy, the Japanese version controls, except that the store-specific provisions in Article 19 are interpreted consistently with the requirements of the relevant Sales Platform.

Article 17 (Special Provisions for Purchases via Sales Platforms)

  1. Where the User purchases the Software through the Apple App Store, the Microsoft Store, or another Sales Platform, billing, payment, refunds, and issuance of receipts are governed by the terms and procedures of that Sales Platform.
  2. In the case of the preceding paragraph, where there is a discrepancy between this Agreement and the terms of the relevant Sales Platform, the platform's terms prevail with respect to billing, payment, and refunds. With respect to other matters (scope of license, intellectual property, special provisions regarding the determination function and AI functions, disclaimer of warranty, limitation of liability, etc.), this Agreement applies.
  3. The payment and refund conditions where the Company conducts direct sales through its website, etc. in the future will be separately set forth by the Company and indicated by means including the disclosure under the Act on Specified Commercial Transactions.

Article 19 (Special Provisions Regarding Sales Platform Operators — Apple / Microsoft Minimum Terms)

This Article sets forth the minimum terms required by each Sales Platform operator, applicable to Users who acquire the Software through the Apple App Store or the Microsoft Store. In case of discrepancy between this Article and the other provisions of this Agreement, this Article prevails for Users who acquired the Software via the relevant platform.

1. If acquired through the Apple App Store

  1. Parties: This Agreement is concluded solely between the User and the Company, and Apple Inc. ("Apple") is not a party to this Agreement. The Company alone is responsible for the Software (the Licensed Application) and its content.
  2. Scope of license: The license to the Software is limited to a non-transferable license to use the Software on Apple-branded products that the User owns or controls, within the scope permitted by the Usage Rules set forth in Apple's Media Services Terms and Conditions, except that the Software may be accessed and used by other accounts associated with the User via Family Sharing or volume purchasing, to the extent permitted by Apple's terms.
  3. Maintenance and support: The Company is solely responsible for providing maintenance and support for the Software, and Apple has no obligation whatsoever to furnish any maintenance or support.
  4. Warranty: In the event the Software fails to conform to any applicable warranty, the User may notify Apple, and Apple may (if applicable) refund the purchase price of the Software to such User. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are the Company's responsibility.
  5. Product / third-party claims: The Company, not Apple, is responsible for addressing any claims by the User or a third party relating to the Software (including product liability, failure to conform to legal or regulatory requirements, claims under consumer protection laws, and intellectual property infringement claims).
  6. Third-party beneficiary: Upon the User's acceptance of this Agreement, Apple and its subsidiaries are third-party beneficiaries of this Agreement and Apple has the right to enforce this Agreement against the User.
  7. Eligibility representations: The User represents and warrants that (a) the User is not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (b) the User is not listed on any U.S. Government list of prohibited or restricted parties.
  8. Compliance with third-party terms: The User must comply with applicable third-party terms of agreement when using the Software (including the terms of service of external LLM service providers and the license terms of third-party components included in the Software).
  9. Provider's contact information: The Company's name, address, and contact information are as set forth in Article 18 (Contact).

2. If acquired through the Microsoft Store

  1. Where the Software is acquired via the Microsoft Store, this Agreement applies in lieu of Microsoft's Standard Application License Terms.
  2. Billing, payment, refunds, and other transaction matters follow the terms and procedures of the Microsoft Store.
  3. Microsoft Corporation and its affiliates are not parties to this Agreement and bear no warranty, support, or product liability for the Software.

Supplementary Provision

This Agreement takes effect on the date the Software is first distributed on a Sales Platform.
